India’s capital markets regulator has approved a stock market listing for Mahanadi Coalfields, the Odisha-based subsidiary of state-run Coal India, clearing the way for one of the country’s biggest share offerings this year.
Under the plan set out in draft papers filed in September, Coal India will sell a 10% stake in the unit through an offer for sale of up to 661.8 million shares. No new shares will be issued, so the proceeds will go to Coal India as the selling shareholder rather than to Mahanadi Coalfields itself.
The scale of the business being put before investors is considerable. Mahanadi Coalfields operates mainly in eastern Odisha and accounted for 21% of India’s domestic coal production and 28.4% of Coal India’s own output in the 2026 financial year. Coal India, the world’s largest coal producer, supplied about 74% of India’s total coal production over the same period.
The offering could raise as much as $1 billion and value Mahanadi Coalfields at as much as $10 billion, according to a Bloomberg report on 2 November citing people familiar with the matter. Those figures are reported, not confirmed: the final size, valuation and timetable could still change, and neither company has announced a price band or opening date.
Bloomberg’s earlier reporting also pointed to a launch in the second half of November or early December, following investor meetings. That timing remains unconfirmed, and investors will be watching for the formal prospectus and price band before judging demand.
The listing fits a wider programme by Coal India to put a public market value on its operating subsidiaries. In March, the company said it could sell stakes of up to 25% in Mahanadi Coalfields and South Eastern Coalfields through listings or other routes. A sister unit, South Eastern Coalfields, has also filed draft papers for its own offering, and the draft prospectus names SBI Capital Markets, Axis Capital, BOB Capital Markets, IDBI Capital Markets and IIFL Capital Services as book-running lead managers for the Mahanadi sale.
The deal also lands in a busy year for large Indian listings. Reuters notes a string of high-profile offerings this year, including those by Jio Platforms and the National Stock Exchange of India, which it says underlines strong investor appetite for marquee names. Whether a coal producer commands the same enthusiasm in a market increasingly attentive to energy transition risks will be one of the key tests of the sale.
For now, regulatory clearance removes the last formal hurdle before launch. What remains is the commercial judgement: the price investors are willing to pay for a tenth of one of India’s most productive coal businesses, and how much of that value Coal India chooses to realise at the first attempt.
